BVI Company Formation Services

Explore whether a British Virgin Islands business company may suit your international business or holding structure. BizGoUp helps you understand the incorporation process, documentation, service-provider requirements, and ongoing compliance considerations.

Is this jurisdiction right for your business?

The BVI has a statutory business-company framework used in international ownership and investment arrangements. A company limited by shares is one available form under the BVI Business Companies Act. The choice must follow the commercial purpose, investor arrangements, where management occurs and the activities actually carried out.

A BVI registration is not anonymity, worldwide tax exemption or permission to carry on licensed financial activities. Service availability and suitability require a case-specific review.

What you can engage us for

Request a British Virgin Islands (BVI) structure assessment, incorporation-document coordination and applicable registered office, secretary or agent arrangements. Your quotation confirms deliverables and each provider's charges; accounting, tax, banking and payment support are scoped separately.

Information for an assessment and quote

Share intended activities, entity type, owners’ countries of residence, management location, customers, capital and account needs. For an existing company, identify services to transfer or outstanding work. KYC documents are requested through an appropriate channel after the scope is agreed.

Business situations to discuss

01

Equity holding

An entity holding shares may be considered for an ownership structure. Pure equity holding business has a distinct economic-substance analysis, not a universal exemption.

02

Investment ownership

Discuss investor rights, asset jurisdictions and regulatory classification. A fund or investment-management activity may require authorization.

03

International arrangements

Evaluate genuine contractual or trading needs alongside management, reporting, counterparty and banking requirements.

The right structure depends on your business model, ownership, management location, customers, substance and compliance obligations. This comparison is general information, not individualized legal or tax advice.

Incorporation requirements

Statutory and registry considerations

  • Entity and constitutional documents: select an available company type and prepare its memorandum and articles under the Business Companies Act. The proposed registered agent submits the incorporation application.
  • Ownership and governance: a company limited by shares has members/shareholders and at least one director. Ordinary business companies have no general BVI-resident director requirement; regulated and substance rules need separate assessment.
  • Local appointments: maintain a registered office in the BVI and a licensed BVI registered agent. These are not proof of an operating office or bank account.
  • Ownership transparency: beneficial ownership information is filed with the Registry through VIRRGIN under the regime effective from January 2025, subject to applicable exceptions. Member and director register obligations are separate.
  • Changes, restrictions and licences: keep ownership and corporate information current; determine whether the proposed activities need a regulatory licence or fall within economic-substance rules.

Provider due diligence — separate from incorporation law

  • The licensed agent performs due diligence on owners, controllers and the intended activity. Identity, address, ownership chart and corporate-owner records are commonly requested; the final requirements are agent-specific.
  • Source of funds or wealth, purpose of the structure, countries of operation and document certification may be requested under the provider’s risk assessment. These are not identical to the registry incorporation documents.

Tax, reporting & ongoing compliance

  • Keep corporate and accounting records plus underlying transaction documents sufficient to explain transactions and determine financial position. Tell the agent the prescribed details if records are held elsewhere.
  • An annual financial return is ordinarily delivered to the registered agent under section 98A, subject to statutory exceptions. It is distinct from registry ownership filings and is not a substitute for accounting records.
  • October 2026 FSC materials describe upcoming changes to financial-return information. The operative commencement and final form have not been confirmed here; your agent must verify them before preparing a return.
  • Maintain current beneficial ownership and required registers. Revised 2026 guidance covers access based on legitimate interest; the company should not be described as anonymous or as having unrestricted public disclosure.
  • Economic substance depends on relevant activities and tax-residence status. Relevant categories include holding, finance/leasing, headquarters, shipping, IP, distribution/service centres and certain regulated financial activities.
  • Pure equity holding business has reduced substance requirements, not automatic exemption. Other relevant activities can require BVI direction, core income-generating activities and adequate personnel, expenditure and premises. Classification and reporting need a provider-led review.
  • Review BVI activity-specific obligations and the laws where owners live, management occurs or business operates. Offshore incorporation does not eliminate those tax or reporting duties.

Incorporation does not determine tax residency or authorize regulated activities. Management, control, owner residence, transfer pricing and operations in other countries can create separate obligations. Obtain qualified legal and tax advice for your circumstances.

Incorporation is not bank approval

BizGoUp can help assess banking and payment options and coordinate application preparation. Account opening is a separate decision by the institution, subject to jurisdiction, activity, ownership, source of funds and KYC. No bank or payment-provider approval is guaranteed.

A BVI company may be assessed differently by each institution. Explain the commercial purpose, asset and transaction locations, ownership and substance; an incorporation certificate alone is not sufficient for acceptance.
