Marshall Islands Company Formation Services

Assess whether a Republic of the Marshall Islands non-resident business corporation fits your international ownership or business plans. BizGoUp coordinates a review of the structure, registry procedures, provider due diligence and ongoing obligations with appropriate professionals.

Is this jurisdiction right for your business?

The Republic of the Marshall Islands provides a non-resident corporation framework under its Business Corporations Act. This page addresses that corporation framework, not every entity type or a domestic operating licence. Choosing it requires a review of the commercial purpose, ownership, management location, contracts and activities.

Registration does not confer anonymity, worldwide tax exemption, banking approval or permission for regulated activities. Local operations may need separate licensing. Availability and suitability must be confirmed for your case.

What you can engage us for

Request a Marshall Islands structure assessment, incorporation-document coordination and applicable registered office, secretary or agent arrangements. Your quotation confirms deliverables and each provider's charges; accounting, tax, banking and payment support are scoped separately.

Information for an assessment and quote

Share intended activities, entity type, owners’ countries of residence, management location, customers, capital and account needs. For an existing company, identify services to transfer or outstanding work. KYC documents are requested through an appropriate channel after the scope is agreed.

Business situations to discuss

01

International ownership

Review a corporate ownership structure alongside investor rights, beneficial ownership records and the laws where assets and owners are located.

02

Cross-border arrangements

Assess genuine contracts and trading needs against counterparty acceptance, management, tax and reporting obligations.

03

Activity-specific structures

Shipping, investment and other specialist activities need their own regulatory and economic-substance review; company registration is only one step.

The right structure depends on your business model, ownership, management location, customers, substance and compliance obligations. This comparison is general information, not individualized legal or tax advice.

Incorporation requirements

Statutory and registry considerations

  • Corporate name and articles: prepare the name, articles of incorporation and required filing information under the Business Corporations Act. Confirm the current registry checklist before filing.
  • Registered agent: maintain the statutory registered agent for service of process. This appointment does not establish an operating office, local management or bank access.
  • Governance and ownership: establish the directors, officers, shareholders and share arrangements required for the chosen corporation. The provider must confirm current appointment, eligibility and filing particulars before incorporation.
  • Corporate records: the Act addresses accounting records, minutes, shareholder and beneficial-owner records. Recordkeeping and lawful information access are distinct from claims about public registry disclosure.
  • Activities and licences: assess applicable economic-substance rules and any regulated activity. Operating or investing locally may require separate foreign-investment licensing.

Provider due diligence — separate from incorporation law

  • The incorporation provider may request identity and address evidence, details of directors and beneficial owners, an ownership chart and records for corporate shareholders. Its final checklist depends on the case.
  • Business purpose, countries of operation, source of funds or wealth, certification and translations may be needed for risk review. These requests are separate from the registry’s incorporation documents.

  • Government / registry charges
  • Local provider / registered agent
  • BizGoUp coordination and support
  • Office, secretary, agent and recurring compliance
  • Optional accounting, tax and banking preparation

Scope annual registration maintenance, registered-agent arrangements, records, applicable economic-substance reporting and professional advice separately. Confirm current charges and deadlines with the provider; no fixed package or processing time is promised.

Tax, reporting & ongoing compliance

  • Maintain accounting records, corporate minutes, shareholder and beneficial-owner records as required by the Act. The 2019 amendment provides a minimum five-year retention period for section 80 records, including after dissolution or cessation; confirm the current requirements for your entity.
  • Plan annual registration-fee and registered-agent maintenance. The provider must confirm the operative deadlines, amounts and any case-specific filings; no fee schedule is quoted here.
  • Economic Substance Regulations apply according to the entity’s activities and circumstances. Confirm classification, any exemptions, evidence and reporting under the current amended rules rather than assuming automatic exemption.
  • Review taxation where owners reside, management and control take place and business is carried out. Non-resident incorporation is not a determination of tax residency or a worldwide tax exemption.
  • Update corporate and ownership information, respond to lawful information requests and obtain any required activity-specific licences. Local foreign-investment permission is a separate question.

Incorporation does not determine tax residency or authorize regulated activities. Management, control, owner residence, transfer pricing and operations in other countries can create separate obligations. Obtain qualified legal and tax advice for your circumstances.

Incorporation is not bank approval

BizGoUp can help assess banking and payment options and coordinate application preparation. Account opening is a separate decision by the institution, subject to jurisdiction, activity, ownership, source of funds and KYC. No bank or payment-provider approval is guaranteed.

Institutions assess Marshall Islands entities under their own jurisdiction and risk policies. Commercial purpose, management, owners, counterparties and expected transactions must be explained. A registry certificate is not sufficient to promise acceptance, and payment-provider support must be checked separately.
