Singapore Company Formation Services

Consider a Singapore private company limited by shares in the context of your Asia-facing operations, management and ownership. BizGoUp coordinates an informed assessment and appropriate local incorporation support.

Is this jurisdiction right for your business?

Singapore offers a local corporate framework for companies with international ownership and regional activities. A private company limited by shares is a separate legal entity. Evaluate the intended contracts, where decisions are made and the ongoing local appointments, not only the place of registration.

A resident-director arrangement does not automatically create tax residence or adequate business substance. Immigration permission, sector licences and banking acceptance are separate matters.

What you can engage us for

Request a Singapore structure assessment, incorporation-document coordination and applicable registered office, secretary or agent arrangements. Your quotation confirms deliverables and each provider's charges; accounting, tax, banking and payment support are scoped separately.

Information for an assessment and quote

Share intended activities, entity type, owners’ countries of residence, management location, customers, capital and account needs. For an existing company, identify services to transfer or outstanding work. KYC documents are requested through an appropriate channel after the scope is agreed.

Business situations to discuss

01

Regional trading

Consider supplier and customer contracts, logistics, licences and where the business is managed.

02

Software & SaaS

Review IP ownership, customer markets, staffing and cross-border service income before selecting a structure.

03

Regional services

Evaluate a regional operating entity where the actual delivery and management arrangements support it.

The right structure depends on your business model, ownership, management location, customers, substance and compliance obligations. This comparison is general information, not individualized legal or tax advice.

Incorporation requirements

Statutory and registry considerations

  • Private company limited by shares: prepare the constitution, name, shareholders, share capital and officer particulars for ACRA Bizfile. A private company may have individual or corporate shareholders, with a maximum of 50.
  • Directors: appoint at least one individual ordinarily resident in Singapore. Directors must be at least 18 and not disqualified. A nominee director retains legal duties.
  • Secretary: appoint an ordinarily resident individual within six months of incorporation. A sole director cannot also act as secretary.
  • Registered office: maintain a Singapore address meeting statutory accessibility requirements. The registered address need not be the operating premises.
  • Ownership and control: maintain and file registrable-controller information under ACRA’s RORC regime unless exempt. Separate nominee-director and nominee-shareholder registers and central filing may apply.
  • Use appropriate local professionals: businesses providing corporate services in and from Singapore must meet ACRA’s CSP registration regime. Review sector licences independently of incorporation.

Provider due diligence — separate from incorporation law

  • Expect identity, residential address, ownership chart and business-activity information. A registered CSP assesses owners and controllers under applicable due-diligence duties.
  • Source of funds, corporate-owner records, intended customers and certified documents may be requested according to risk and the provider’s requirements, separately from Bizfile particulars.

  • Government / registry charges
  • Local provider / registered agent
  • BizGoUp coordination and support
  • Office, secretary, agent and recurring compliance
  • Optional accounting, tax and banking preparation

Local director support where needed, secretary, registered office, annual returns, accounting and tax work are separately scoped. Audit and financial-statement exemptions require eligibility review.

Tax, reporting & ongoing compliance

  • File ACRA annual returns and keep company and controller information current. Financial-statement filing and audit exemptions are separate, eligibility-based questions.
  • Maintain accounting records and prepare financial statements. Dormancy does not automatically remove controller-register obligations.
  • Corporate income-tax returns and other applicable tax obligations are separate from registry annual returns. GST and sector requirements depend on the business facts.
  • IRAS assesses tax residence by where control and management are exercised. Incorporation, a registered office or a nominee resident director alone do not establish residence.
  • Review work-pass/immigration permission and regulated-activity licences separately. Cross-border arrangements can create foreign tax and transfer-pricing obligations.

Incorporation does not determine tax residency or authorize regulated activities. Management, control, owner residence, transfer pricing and operations in other countries can create separate obligations. Obtain qualified legal and tax advice for your circumstances.

Incorporation is not bank approval

BizGoUp can help assess banking and payment options and coordinate application preparation. Account opening is a separate decision by the institution, subject to jurisdiction, activity, ownership, source of funds and KYC. No bank or payment-provider approval is guaranteed.

Institutions assess the company’s activities and connections to Singapore, management, owners and transaction profile. A local appointment or ACRA registration does not ensure account acceptance.
