US Company Formation: LLC & Corporation

Start with the state, entity type and actual business footprint. BizGoUp helps you explore US company formation, with Delaware and Wyoming as examples—not a single nationwide incorporation package.

Is this jurisdiction right for your business?

US entities are formed under state law. An LLC and a corporation have different governance and tax considerations. Delaware and Wyoming illustrate why state selection must be tied to operations and ownership, rather than assuming that one state’s filing rules apply nationwide.

Registration in one state does not automatically authorize operations in every state, confer immigration rights or settle federal and foreign taxes. Other operating states can require foreign qualification, licences and tax registrations.

What you can engage us for

Request a United States structure assessment, incorporation-document coordination and applicable registered office, secretary or agent arrangements. Your quotation confirms deliverables and each provider's charges; accounting, tax, banking and payment support are scoped separately.

Information for an assessment and quote

Share intended activities, entity type, owners’ countries of residence, management location, customers, capital and account needs. For an existing company, identify services to transfer or outstanding work. KYC documents are requested through an appropriate channel after the scope is agreed.

Business situations to discuss

01

Software & services

Explore a structure for US-facing contracts, while checking where work is performed and where tax obligations arise.

02

Investor-led ventures

Consider a corporation when investor and equity arrangements call for it; do not choose solely by headline tax claims.

03

Trading & online business

Review inventory, sales channels, sales-tax nexus, licensing and payment-provider acceptance in the relevant states.

The right structure depends on your business model, ownership, management location, customers, substance and compliance obligations. This comparison is general information, not individualized legal or tax advice.

Incorporation requirements

Statutory and registry considerations

  • Select state and entity: LLCs file the applicable formation document; corporations use their state incorporation document. Governance agreements are distinct from registry filings.
  • Delaware: maintain a registered agent with a physical Delaware address. An LLC agreement governs member/manager arrangements; a corporation has a separate board framework.
  • Wyoming: appoint the required state registered agent and file the applicable articles. Confirm the specific entity’s governance and operating-state registrations rather than assuming a blanket US rule.
  • EIN: assess the need for a federal employer identification number and complete Form SS-4 with the actual responsible party. An EIN is not incorporation or a tax exemption.
  • Ownership disclosures: current FinCEN guidance exempts US-created entities from federal CTA BOI reporting; certain foreign-formed entities registered in the US remain in scope. State disclosures and bank KYC remain separate.

Provider due diligence — separate from incorporation law

  • Identity, address, ownership chart, business description and corporate-owner documents are commonly requested by formation and banking providers. Requirements vary by provider and risk assessment.
  • Banking providers may request EIN evidence, governing documents, transaction plans and source of funds. CTA filing exemptions do not remove financial-institution due diligence.

Budget for registered-agent service, applicable state taxes/reports, federal tax preparation, operating-state compliance and optional accounting. Delaware and Wyoming maintenance differ.

Tax, reporting & ongoing compliance

  • Delaware LLCs pay annual entity tax but do not file the Division’s annual report. Delaware corporations follow separate annual-report and franchise-tax requirements.
  • Wyoming requires annual reports for LLCs and corporations; confirm the applicable licence-tax and information requirements. Do not import Delaware’s LLC rule into Wyoming.
  • Federal LLC classification depends on member count and elections. A single-member LLC may be disregarded for income tax but is not automatically tax-free or filing-free.
  • Foreign-owned US disregarded entities can require Form 5472 with a pro-forma Form 1120 when reportable transactions occur. Contributions and distributions can matter even without sales revenue.
  • Maintain company and transaction records, review licences, employment/sales taxes and qualification in other operating states. Federal BOI relief does not remove state information obligations or bank KYC.

Incorporation does not determine tax residency or authorize regulated activities. Management, control, owner residence, transfer pricing and operations in other countries can create separate obligations. Obtain qualified legal and tax advice for your circumstances.

Incorporation is not bank approval

BizGoUp can help assess banking and payment options and coordinate application preparation. Account opening is a separate decision by the institution, subject to jurisdiction, activity, ownership, source of funds and KYC. No bank or payment-provider approval is guaranteed.

A provider may require an EIN and evidence of a credible US-related business purpose. Remote onboarding, accepted states, industries and owners vary; no particular bank or processor is promised.
