Hong Kong Company Formation Services

Evaluate a Hong Kong private company limited by shares for your trading, services or ownership plans. BizGoUp helps clarify local appointments, documentation and ongoing obligations with appropriate professionals.

Is this jurisdiction right for your business?

Hong Kong’s private-company framework can be evaluated for international trade and services. A company limited by shares is separate from its owners. The assessment should consider contracts, customer and supplier locations, management and the company’s ongoing accounting and corporate obligations.

Hong Kong incorporation is not a blanket exemption for foreign income. Tax-source analysis and the FSIE regime can matter; company registration does not replace sector licences or bank due diligence.

What you can engage us for

Request a Hong Kong structure assessment, incorporation-document coordination and applicable registered office, secretary or agent arrangements. Your quotation confirms deliverables and each provider's charges; accounting, tax, banking and payment support are scoped separately.

Information for an assessment and quote

Share intended activities, entity type, owners’ countries of residence, management location, customers, capital and account needs. For an existing company, identify services to transfer or outstanding work. KYC documents are requested through an appropriate channel after the scope is agreed.

Business situations to discuss

01

International trading

Review procurement, sales, logistics and where profit-generating operations occur.

02

Digital & professional services

Assess delivery locations, contracts, personnel and sector restrictions rather than assuming online income is exempt.

03

Ownership arrangements

Examine commercial purpose, controller information and tax treatment of dividends, disposals and other income, including FSIE where relevant.

The right structure depends on your business model, ownership, management location, customers, substance and compliance obligations. This comparison is general information, not individualized legal or tax advice.

Incorporation requirements

Statutory and registry considerations

  • Entity and documents: a company limited by shares files NNC1, articles of association and IRBR1 through the incorporation/business-registration process. One member is sufficient; private-company membership is generally capped at 50 subject to statutory exclusions.
  • Directors: at least one director must be a natural person. There is no general Hong Kong-residency requirement for directors or shareholders of an ordinary private company.
  • Secretary: appoint an individual ordinarily resident in Hong Kong or a body corporate with a local registered office/place of business. A sole director cannot also be secretary.
  • Registered office: maintain a Hong Kong registered address for official notices and statutory records as required; it is not necessarily an operating office.
  • Controllers: an ordinary unlisted local company must identify significant controllers, maintain its SCR at the prescribed Hong Kong location and appoint a qualifying designated representative. This differs from Singapore’s central RORC filing model.
  • Providers and regulated work: company-service businesses in Hong Kong generally need a TCSP licence unless a statutory exemption applies. Sector licensing is separate from incorporation.

Provider due diligence — separate from incorporation law

  • TCSPs and financial institutions perform ownership and identity due diligence. Expect identification, residential address, corporate-owner records and intended business information.
  • Certification, source-of-funds evidence, contracts, transaction plans and interviews can depend on risk and provider policy. Do not treat every bank’s checklist as a statutory incorporation requirement.

Your document checklist

Indicative only. The local provider confirms the final KYC checklist; additional verification, translations or certification may be required. Do not upload identity documents through this enquiry form.

  • Shareholder, director and beneficial owner details
  • Proposed names, activity and ownership chart

  • Government / registry charges
  • Local provider / registered agent
  • BizGoUp coordination and support
  • Office, secretary, agent and recurring compliance
  • Optional accounting, tax and banking preparation

Quote secretary/address services, business-registration renewal, annual returns, accounting, audit and tax preparation separately as applicable. Simplified reporting is not a blanket audit exemption.

Tax, reporting & ongoing compliance

  • File the private company annual return (NAR1) and relevant changes; keep statutory records and the SCR up to date.
  • Maintain accounting records and prepare annual financial statements. Audit is generally required, subject to statutory exceptions such as qualifying dormant companies.
  • Small-company simplified reporting is not itself an audit exemption. Ordinary private-company accounts are not lodged with the Registry annual return, but this does not remove preparation or tax obligations.
  • Profits-tax exposure generally concerns carrying on business in Hong Kong and Hong Kong-source profits. Assess the actual activities and tax filings with qualified advisers.
  • Specified foreign-source income received in Hong Kong by an in-scope multinational-group entity can fall within FSIE unless exemption conditions are met. Incorporation or a residence certificate does not guarantee exemption or treaty benefits.
  • Business-registration renewal, sector licences and cross-border management, tax-residence and transfer-pricing questions must be reviewed separately.

Incorporation does not determine tax residency or authorize regulated activities. Management, control, owner residence, transfer pricing and operations in other countries can create separate obligations. Obtain qualified legal and tax advice for your circumstances.

Incorporation is not bank approval

BizGoUp can help assess banking and payment options and coordinate application preparation. Account opening is a separate decision by the institution, subject to jurisdiction, activity, ownership, source of funds and KYC. No bank or payment-provider approval is guaranteed.

Prepare evidence of commercial activity, contracts, ownership, transaction destinations and source of funds. Onboarding location, interviews and documents depend on the institution; no account is included by default.
